2. Scope of Services

Covers IT consulting, software, web/app development, cloud solutions, digital marketing, and SaaS.

Any scope change must be agreed in writing.
3. Client Responsibilities

Provide timely access, information, and cooperation.

Delays due to client issues are not the Company’s fault.
4. Deliverables & Acceptance

Client must review deliverables within a set period.

If no feedback is received, deliverables are deemed accepted.
5. Fees & Payment

Payments follow agreed milestones or schedules.

Late payments may incur interest.

Taxes are borne by the Client.
6. Intellectual Property

Company retains rights to pre-existing tools and code.

Client gains usage rights to deliverables after full payment.
7. Confidentiality

Both parties must protect confidential information.

No unauthorized disclosure without written consent.
8. Warranties

Deliverables conform to specifications for 90 days post-acceptance.

Warranty excludes misuse or third-party interference.
9. Limitation of Liability

Liability capped at total fees paid by the Client.

No responsibility for indirect or consequential losses.
10. Termination

Either party may terminate upon written notice for breach.

Client must pay for completed work up to termination.
11. Governing Law

Governed by laws of Maharashtra, India.

Disputes resolved via arbitration under Arbitration & Conciliation Act, 1996.
